HealthTracker™ Terms and Conditions of Use

These Terms and Conditions (“Terms” or “Agreement”) govern your access to and use of the HealthTracker™ website, platform, and related services.
By accessing or using the HealthTracker™ service, you agree to be legally bound by these Terms. If you do not agree, you must not use the service.
1. Who we are
This agreement is between you and:

References to “we”, “us”, or “our” mean HealthTracker Ltd and any affiliated entities under common ownership or control. References to “you” or “your” mean any user of the HealthTracker™ website or service.
2. Acceptance and contract formation
A legally binding contract is formed when you:
- Access or use the HealthTracker™ website; and/or
- These Terms incorporate our Privacy Notice, which forms part of this Agreement.
3. Purpose of HealthTracker™ (No medical advice)
HealthTracker™ is designed to:
- Collect health related information through questionnaires
- Support clinical care and approved research
- Provide information to healthcare professionals involved in your care
HealthTracker™ does not provide medical diagnosis or treatment.
It is not a substitute for consultation with a qualified healthcare professional. If information derived from HealthTracker™ conflicts with advice from a clinician, the clinician’s advice takes precedence.
4. Eligibility and account security
You must use HealthTracker™ only if you are authorised to do so by a clinical service, research project, or HealthTracker Ltd.
You are responsible for:
- Maintaining the confidentiality of your login credentials
- All activity carried out under your account
You must notify us immediately if you believe your account has been compromised.
5. Licensed use (Healthcare professionals and paid services)
Certain features are available only to licensed or paying users (“Paid Services”)
Subject to payment of applicable fees and compliance with these Terms, we grant a limited, non exclusive, non transferable, revocable licence to use HealthTracker™ for professional, non commercial clinical or research purposes.
No ownership rights are transferred.
6. Changes to these terms
We may update these Terms from time to time.
Material changes affecting existing users will be notified through the platform or website and will take effect no earlier than 7 days after notice.
Continued use constitutes acceptance of the updated Terms.
7. Content accuracy and limitations
We take reasonable care to ensure that questionnaires and materials are accurate and validated.
However, to the fullest extent permitted by law:
- Content is provided “as is”
- We do not guarantee completeness, accuracy, or suitability for a particular purpose
- We are not responsible for consequences arising from reliance on the content
8. Privacy and data protection
Your personal data is processed in accordance with our Privacy Notice.
By using HealthTracker™, you confirm that information you provide is accurate and that you understand how your data will be processed.
9. Intellectual property
All intellectual property rights in the HealthTracker™ platform, including software, content, layout, graphics, questionnaires, trademarks, and logos, are owned by or licensed to HealthTracker Ltd.
You may:
- View content on screen
- Print or download limited extracts for personal, non commercial use
You must not:
- Copy, reproduce, distribute, or adapt content
- Create derivative works
- Use trademarks or branding without prior written permission
Breach of this clause may result in immediate termination of access.
10. Prohibited uses
You must not:
- Impersonate others or misrepresent affiliation
- Breach laws or regulations
- Interfere with system security or availability
- Upload malicious software or harmful code
- Collect or misuse personal data of others
- Resell, frame, or commercially exploit the platform
Unauthorised access attempts are strictly prohibited.
11. Breach and enforcement
We may take appopriate action where these Terms are breached, including:
- Suspension or termination of access
- Issuing warnings
- Legal action
- Reporting to regulatory or law enforcement authorities
We are not liable for actions taken to enforce these Terms.
12. No warranties
To the fullest extent permitted by law, HealthTracker™ is provided “as available” and “as is”, without warranties of any kind, express or implied.
Your statutory consumer rights are not affected.
13. Limitation of liability
To the fullest extent permitted by law, HealthTracker Ltd excludes liability for:
- Indirect or consequential losses
- Loss of data, income, business, or profits
- Service interruptions or system failures
Nothing in these Terms limits liability for:
- Death or personal injury caused by negligence
- Fraud or fraudulent misrepresentation
- Any liability that cannot lawfully be excluded
14. Service availability and modifications
We aim to maintain availability but do not guarantee uninterrupted service.
We may modify, suspend, or discontinue parts of HealthTracker™ where reasonably necessary, including for maintenance or security reasons.
15. Third party links and content
HealthTracker™ may link to third party websites or services.
We do not endorse, control, or accept responsibility for third party content, products, or services.
16. Indemnity
You agree to indemnify HealthTracker Ltd against claims, damages, and costs arising from:
- Your breach of these Terms
- Misuse of the platform
- Violation of law or third party rights
17. Assignment
We may assign or transfer this Agreement without restriction.
You may not assign this Agreement without our prior written consent.
18. Entire agreement
These Terms, together with the Privacy Notice, constitute the entire agreement between you and HealthTracker Ltd and supersede all prior arrangements.
19. Severability and waiver
If any provision is found unenforceable, the remaining provisions remain in effect.
Failure to enforce a right does not constitute a waiver.
20. Term and termination
This Agreement remains in force while you use HealthTracker™.
We may suspend or terminate access immediately for unauthorised or suspected misuse.
21. Governing law and jurisdiction
These Terms are governed by English law.
The courts of England and Wales have exclusive jurisdiction, subject to our right to bring proceedings in other jurisdictions where a breach originates.
22. Survival
Clauses relating to intellectual property, liability, indemnity, governing law, and entire agreement survive termination.
